These AfterShip Feed Terms (the “Feed Terms”) form part of the AfterShip Terms of Service (the “Terms”). Capitalized terms used but not defined in these AfterShip Feed Terms have the meaning given to them in the Terms. For more information on AfterShip Feed, please refer to the Site and the Documentation.

In addition to the Terms, the following Feed Terms apply to Your access and use of AfterShip Feed.

1. DEFINITIONS

When used in these Feed Terms with the initial letters capitalized, in addition to terms defined elsewhere in the Terms, the following terms shall have the following meanings:

AI Enhanced Feature refers to any software, feature, application, or system that uses artificial intelligence technologies, including, machine learning, natural language processing, and predictive analytics, to perform automated tasks, analyse data, or generate outputs.

Creator means any individual or entity who has registered and created a profile on a Social Media Platform.

Platform Providers means any provider of Platform Services.

Platform Services means the third-party products, applications, services, software, products, networks, systems, directories, websites, databases, and information which the Service links to or enables the User to (i) build and manage eCommerce stores, including Shopify, Shopifyplus, Magento, Bigcommerce and WooCommerce or (ii) import public reviews from User’s Stores to User’s Social Media Platform Store, subject to Section 11.1 of the Terms.

Store means any and all stores, whether online or physical retail location(s), that Users manage using Platform Services and/or Social Media Platform Services.

Store Information means any data provided by You, including Your use of a Social Media Platform Store, the Platform Providers, and/or by Social Media Platforms to AfterShip in connection with the Service and a Social Media Platform Store, including namely but not exclusively: product title, product description, price, quantity, currency, product images, barcodes, warehouse information, shipping method, store language, product dimensions, product weight, chart image, sales statistics, reviews and product certification image.

Social Media Platform means the relevant Social Media Platform entity (e.g., TikTok) which controls and manages Your Social Media Platform Store (e.g., TikTok Shop) and provides Social Media Platform Services.

Social Media Platform Creator Site means a site managed by a Social Media Platform which allows Creators and Users who have a Social Media Platform Store to connect through a Social Media Platform’s API.

Social Media Platform Services means any services provided by a Social Media Platform to You, including but not limited to all services in connection with the Social Media Platform Store and the Social Media Platform Creator Site.

Social Media Platform Store means the User’s Social Media Platform shop store to provide e-commerce services to End-Users.

2. SOCIAL MEDIA PLATFORM SERVICES AND PLATFORM SERVICES

2.1 By enabling, accessing, integrating, or connecting or using Social Media Platform Services, be advised that Your access, integration, connection, and use of such Social Media Platform Services is governed by the terms and conditions of a Social Media Platform. AfterShip does not endorse, is not responsible or liable for, and makes no representations as to any aspect of such Social Media Platform Services, including, without limitation, the accuracy, completeness, or authenticity of the information contained or the manner in which a Social Media Platform handles data, including Your Data, or any interaction between You and Social Media Platform. For the avoidance of doubt, AfterShip does not endorse, is not responsible or liable for, and makes no representations as to Your interactions and/or content shared with Creators.

2.2 By enabling, accessing, integrating, or connecting or using Platform Services, be advised that Your access, integration, connection, and use of such Platform Services is governed by the terms and conditions of such Platform Services. AfterShip does not endorse, is not responsible or liable for, and makes no representations as to any aspect of such Platform Services, including, without limitation, the accuracy, completeness, or authenticity of the information contained or the manner in which a Platform Provider handles data, including Your Data, or any interaction between You and the Platform Provider.

2.3 By integrating or connecting any Platform Services with Social Media Platform Services to AfterShip Feed, You are expressly permitting AfterShip to (i) disclose, collect, process and retain Your Login, Your Data or any other relevant data provided by You, a Social Media Platform or the relevant Platform Provider (including the Store Information) to the extent necessary to facilitate the access, synchronization, integration or connection of the Platform Services with Social Media Platform Services, (ii) access, use, collect and process any and all data originating from a Social Media Platform and relevant Platform Provider (including the Store Information) and to combine said data with Your Data to the extent necessary for AfterShip to provide the Services.

2.4 AfterShip solely provides a connection between Platform Services and Social Media Platform Services. AfterShip does not provide Platform Services. AfterShip does not provide Social Media Platform Services. AfterShip cannot be held responsible for any data managed by the Platform Providers and/or a Social Media Platform. AfterShip is not responsible and makes no representations in connection with any interaction between You, the Platform Providers and a Social Media Platform.

2.5 AfterShip may obtain information, including Personal Data, if You decide to enable, access, or use social media authentication or other authentication services, namely but not exclusively when You log in through Social Media Platform Services and Platform Services. Any access that We may have to such information from a third-party social media or authentication service is in accordance with the authorization procedures determined by that Platform Provider and/or Social Media Platform.

2.6 You irrevocably waive any claim against AfterShip with respect to Platform Services and Social Media Platform Services. AfterShip is not liable for any damage or loss caused or alleged to be caused by or in connection with Your enablement, access, integration, connection, or use of any such Platform Services and/or Social Media Platform Services or Your reliance on the privacy practices, data security processes or other policies of such Platform Services and/or Social Media Platform Services.

2.7 AfterShip reserves the right to suspend or limit access, in whole or in part, to Social Media Platform Services to any User, Social Media Platform, or other third-party partner in the event of a Definitive Government Action. In such cases, AfterShip will make reasonable efforts to assist User to migrate to an alternative Social Media Platform. For purposes hereof, a “Definitive Government Action” means a prohibition or restriction of the use or operation of a Social Media Platform and/or any Social Media Platform Services in a specific jurisdiction by law, regulation, or final judicial order that is not subject to appeal or further legal challenge, which would impede the use of Social Media Platform Services with respect to that Social Media Platform; for the avoidance of doubt, a Definitive Government Action (i) does not include temporary suspensions, restrictions, or conditions that allow a Social Media Platform to resume operations within ninety (90) days of its effective date, and (ii) must directly impact the User's ability to utilize the AfterShip Feed Feature with respect to Social Media Platform Services for its intended purpose.

3. CONFIDENTIALITY AND USE OF DATA

3.1 Notwithstanding anything to the contrary in the Terms, You agree that, solely to the extent necessary to provide the Services, AfterShip shall be authorized (i) to access, use, modify, and retain the Data and Store Information (including Confidential Information), (ii) to disclose the Data and the Store Information (including Confidential Information) to the Authorized Subprocessors, Social Media Platforms, Platform Providers, End-Users, and their employees, agents, and representatives (“Representatives”) and (iii) to permit the Representatives to use, modify, and reproduce the Data and the Store Information (including Confidential Information).

3.2 AfterShip may provide or feature Creators for potential collaboration suggestions to Users using algorithmic analysis of available data, including use of artificial intelligence and machine learning, in relation to Social Media Platform Services (“Suggestions”). These Suggestions are provided “as is” and in no way provide a guaranteed outcome nor and any such Suggestions are not made as a commissioned service and may not consider Your specific business needs. AfterShip disclaims any warranties for accuracy or reliability. Users should independently assess suitability before acting on any Suggestions.

3.3 If User enables an AI Enhanced Feature as part of the Feed Services, User acknowledges such AI Enhanced Feature is provided for informational purposes only. For the avoidance of doubt, an AI Enhanced Feature does not process Personal Data and may produce outputs that vary in accuracy or relevance. User is solely responsible for independently verifying any such outputs and ensuring their suitability for User’s intended purpose. User acknowledges that AI Enhanced Feature are designed to assist in informational or operational tasks but do not replace professional judgment or guarantee specific outcomes. Any use of an AI Enhanced Feature is User’s sole responsibility.

4. PERSONAL DATA

4.1 As part of the provision of the Services, AfterShip acts as a Data Processor and processes Personal Data based on the instructions of the User. By using the Service in any way, User expressly agrees with the terms and conditions of AfterShip Data Processing Agreement.

4.2 For AfterShip Feed Services, Schedule E of AfterShip Data Processing Agreement shall be completed as follows:
